Intellectual Property Protection Policy

Agilis Solutions and its Offshore Development Center (OSDC) respects the law and international agreements on Intellectual Property and considers it as a critical element in the business's long-termsuccess. The business commits to respect intellectual property rights of its Customers and Partners. The copyrighted materials include (but not limited to):

- Any computer software and other copyrighted and licensed materials provided by the Customer or Partner.
- Any computer software and other copyrighted materials (source code, specification, etc.) transferred by the Business to the Customer or Partner according to the Agreement between them.

The business commits to develop a training program on Intellectual Property for its employees, regularly updating them with new legal developments on intellectual property and computer software anti-piracy.

The business actively participates in improvement programs of social awareness of Intellectual property rights and computer software piracy, organized by the Vietnam Government, Vietnam Software Association and other related International Organizations.

The business is ready for cooperation with competent government organizations for development of policies, regulations and other legislative documents in order to improve the Copyright enforcement, especially of computer software copyright in Vietnam.

Employee Responsibility

Employees shall comply with the provisions of the applicable laws, the terms and conditions of all licensing agreements and agreements between the business and its Customer or Partner. It is against our policy to copy or reproduce software on its computing equipment, except as allowed by law or permitted by the software license.

All business employees shall:

- Not use unauthorized copies of software and other copyrighted materials on business-owned computers whether the equipment is located at the workplace or in the employee's home;
- Not use copies of software licensed to the business on employee-owned computers used for work related activities located in the employee's home without prior authorization from the appropriate approval authority;
- Be responsible for familiarizing themselves with license and copyright obligations relating to their working materials; and
- Cooperate and share information with the business's authorized personnel that may be helpful in combating the unlawful use of computer software and other copyrighted material.
